Partner Terms & Conditions

1. Nature of the Zraders Platform

• Zraders is primarily a digital communication, discovery, listing, and promotional platform that allows Partners to present information about their businesses, products, services, offers, and contact details to potential customers.
• Zraders does not necessarily sell, manufacture, own, store, deliver, inspect, or provide the products or services listed by Partners.
• Zraders is not the seller of the Partner’s products; is not the service provider; is not the manufacturer of products listed by Partners; is not the Partner’s agent; and does not guarantee the quality, safety, legality, authenticity, availability, pricing, or suitability of any Partner’s products or services.
• Zraders does not guarantee that a customer will purchase, book, contact, or transact with a Partner.
• Any transaction, communication, agreement, booking, purchase, or service between a customer and Partner is primarily between those parties.
• Partners are solely responsible for their products, services, business operations, customers, employees, representatives, licences, taxes, and legal obligations.

2. Partner’s Responsibility

• All information provided by you must be accurate and current.
• Your products and services must be genuine and lawful.
• You must have all required licences, registrations, permissions, and approvals.
• Your prices and offers must be accurate.
• Your products and services must meet applicable legal and regulatory requirements.
• You will communicate honestly and professionally with customers.
• You will fulfil commitments made directly to customers.
• You will handle customer complaints, refunds, cancellations, replacements, warranties, and after-sales matters relating to your products or services.

3. Communication Between Partner and Customer

• Zraders may provide communication tools, contact information, messaging features, enquiry forms, phone numbers, links, or other mechanisms that allow customers and Partners to communicate.
• Zraders does not guarantee that a customer is genuine, that a customer will complete a transaction, that a Partner will respond, the accuracy of information provided by a customer or Partner, the outcome of any communication, or the conduct of a customer or Partner.
• Any agreement, promise, quotation, payment, booking, purchase, service, delivery, refund, dispute, or other arrangement made between a Partner and customer is the responsibility of the relevant parties.

4. Products and Services Listed on Zraders

• Partners are responsible for their own listings.
• Zraders does not guarantee or verify every product or service listed on the Platform.
• Zraders may, at its discretion, review, modify, hide, remove, restrict, or reject any listing or Partner account where we believe it may violate these Terms, applicable law, Platform policies, or the interests of users or the Platform.
• The presence of a product or service on Zraders should not automatically be interpreted as an endorsement, guarantee, certification, or recommendation by Zraders.

5. Partner Verification and Blue/Verified Badges

• Zraders may introduce verification or identification features in the future, including Blue Tick badges, Verified Partner badges, Business Verification badges, Premium Partner badges, Trusted Partner badges, or other verification or recognition labels.
• Zraders may determine the eligibility requirements, verification process, duration, pricing, and benefits of such features.
• A verification or blue tick badge does not guarantee the quality of the Partner’s products or services, legality of the Partner’s business, financial condition, future conduct, customer satisfaction, or any particular sales or business performance.
• A verification badge indicates only that the Partner has satisfied the criteria determined by Zraders for that particular badge at the relevant time.
• Zraders may remove, suspend, or modify a badge at any time where permitted by applicable law.

6. Paid Features and Future Services

• Zraders may introduce free or paid features from time to time.
• These may include Verified or Blue Tick badges, Premium Partner accounts, Featured Partner listings, Product listing services, Priority placement, Sponsored listings, Advertising services, Banner advertisements, Promotional campaigns, Product promotion, Business promotion, Featured products, Subscription plans, Lead generation services, additional communication or marketing tools, analytics and reporting features, and other promotional or business services.
• Zraders may determine the pricing, availability, eligibility, duration, features, and terms applicable to such services.
• Where a service requires payment, the applicable charges will be communicated to the Partner before the Partner purchases or activates the relevant paid service.

7. Advertising on Zraders

• Partners may have the opportunity to advertise or promote their businesses, products, or services on Zraders.
• Advertising may include Featured listings, Sponsored products, Banner advertisements, Search-result promotions, Category promotions, Homepage placements, Promotional campaigns, or other advertising formats introduced by Zraders.
• Payment for advertising or promotional placement does not guarantee a specific number of views, enquiries, customers, sales, or any specific business result.
• Zraders may determine where and how advertisements are displayed, subject to the applicable advertising agreement or policy.

8. Listing and Promotional Charges

• Zraders may offer certain listing or promotional services free of charge and may introduce charges for such services in the future.
• These may include charges for listing products, featured product placement, business listings, premium listings, increased visibility, category placement, promotional campaigns, verification badges, advertising, and other Platform services.
• Where applicable, Partners will be informed of charges before being required to pay for the relevant service.

9. No Guarantee of Business Results

• Zraders does not guarantee that using the Platform will result in sales, leads, customers, bookings, enquiries, increased business, increased revenue, increased visibility, or any particular return on advertising expenditure.
• Any statistics, analytics, estimates, rankings, impressions, views, leads, or other information provided by Zraders are for informational purposes and may not represent guaranteed future results.

10. Customer Disputes

• Zraders is not responsible for disputes between Partners and customers, including product quality, service quality, pricing, payment, delivery, cancellation, refund, warranty, misrepresentation, damage or loss, personal injury, or property damage claims.
• Partners and customers are responsible for resolving such matters directly, subject to applicable law.
• Zraders may, where appropriate, assist with communication or provide relevant information, but such assistance does not make Zraders a party to the transaction or dispute.

11. Limitation of Zraders’ Liability

• To the maximum extent permitted by applicable law, Zraders shall not be responsible or liable for losses, damages, claims, expenses, or liabilities arising from products or services provided by Partners, actions or omissions of Partners or customers, transactions between Partners and customers, customer complaints, product defects, service failures, delivery failures, refunds or cancellations, business losses, loss of profits, loss of customers, loss of data, fraud committed by third parties, misleading information provided by Partners or customers, disputes between Partners and customers, temporary Platform interruptions, internet or network failures, third-party services, or events outside Zraders’ reasonable control.
• Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

12. Partner Indemnification

• To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Zraders, its owners, directors, employees, representatives, and affiliates from claims, damages, losses, liabilities, costs, and expenses arising from or relating to your products or services, business activities, violation of these Terms or applicable law, dealings with customers, inaccurate or misleading information, infringement of intellectual property rights, negligence, fraud, or misconduct.

13. Partner Content and Intellectual Property

• You retain ownership of the content, photographs, logos, trademarks, product information, descriptions, and other materials you upload to Zraders.
• You grant Zraders a non-exclusive, royalty-free, worldwide licence to use, reproduce, display, distribute, modify, and publish such content for operating the Platform, displaying your Partner listing, promoting your business, marketing Zraders, advertising your products or services, improving Platform functionality, and creating promotional materials.
• You confirm that you have the necessary rights and permissions to provide such content.

14. Prohibited Activities

• Partners must not provide false or misleading information, create fake accounts, create fake orders or transactions, manipulate ratings or reviews, misuse customer information, circumvent Zraders fees, manipulate Platform rankings, upload illegal content, promote illegal products or services, infringe another person’s intellectual property, attempt unauthorised access to the Platform, use Zraders for fraudulent purposes, or engage in activities that may harm customers, Partners, or Zraders.

15. Suspension or Removal of Partner Accounts

• Zraders may suspend, restrict, remove, or terminate a Partner account, listing, advertisement, badge, or promotional service if we reasonably believe that the Partner has violated these Terms, provided false information, engaged in fraudulent activity, violated applicable law, received serious or repeated customer complaints, misused the Platform, attempted to circumvent Platform fees, created a risk to customers, Partners, or Zraders, or where such action is required for legal, security, technical, or operational reasons.
• Where appropriate, Zraders may provide notice before taking action.

16. Platform Changes

• Zraders may add, remove, modify, suspend, or discontinue any Platform feature, service, category, listing format, communication method, promotional feature, or Partner benefit at any time, subject to applicable law.
• We may also change how information is displayed, ranked, searched, or promoted on the Platform.

17. Changes to Partner Fees

• Zraders may introduce new fees or change existing fees for optional paid services.
• Any applicable charges will be communicated before the Partner purchases or activates the relevant paid service.
• A Partner’s continued use of a paid service after the applicable pricing becomes effective will constitute acceptance of the applicable charges, subject to applicable law.

18. No Agency or Partnership

• Registration on Zraders does not create an employer-employee relationship, partnership, joint venture, agency, franchise, or other legal relationship between Zraders and the Partner.
• The Partner operates independently and is solely responsible for its business.

19. Confidentiality and Customer Information

• Partners must use customer information only for legitimate purposes connected with communication or transactions initiated through the Platform.
• Partners must not sell, misuse, distribute, or unlawfully disclose customer information.
• Partners are responsible for complying with applicable privacy and data-protection laws.

20. Governing Law

• These Terms shall be governed by the laws of India.
• Subject to applicable law, disputes arising from these Terms shall be subject to the jurisdiction of the courts located in Rishikesh, Uttarakhand, India.
